An announcement from Cementos Pacasmayo SAA ( (CPAC) ) is now available.

On March 30, 2026, Cementos Pacasmayo reported that Holcim Ltd. had completed the acquisition of 99.99% of the shares of Inversiones ASPI S.A., which holds 50.01% of Cementos Pacasmayo’s capital, giving Holcim an indirect majority stake in the Peruvian cement producer. The deal, following a December 16, 2025 agreement and clearance of all conditions precedent, cements Pacasmayo’s integration into Holcim’s Latin American platform while its CEO Humberto Nadal remains in his role and assumes the chairmanship.

Holcim framed the transaction as a strategic milestone in its Latin American expansion, adding Pacasmayo’s complementary, high-margin portfolio, which generated $630 million in net sales and a 24% EBITDA margin in 2025. The Swiss group expects about $40 million in annual synergies by year three, an implied 7.1x EBITDA multiple at group level, immediate EPS and free cash flow accretion, adoption of Holcim’s Code of Ethics at Pacasmayo, and plans to launch a mandatory tender offer for additional shares under Peruvian law.
