At an extraordinary general meeting held on 22 January 2026, shareholders of HG Semiconductor Limited approved two acquisition-related resolutions by poll, both receiving 100% of the votes cast by eligible independent shareholders. The first resolution authorised the company to acquire all issued shares of Join Gain HK Limited from a group of vendors and to settle the consideration through the issuance of 146,776,000 new shares, while the second resolution approved the purchase of Red Mont HK Limited, with payment to be made via a promissory note. Certain major shareholders and related parties, including the vendors and their associates, were required to and did abstain from voting in line with Hong Kong listing rules, leaving more than 80% of the company’s issued shares eligible to vote as independent shareholders. The passage of these resolutions clears the way for HG Semiconductor to proceed with its planned acquisitions, potentially expanding its asset base and business portfolio through the addition of the Join Gain HK and Red Mont HK entities.
