Henderson Land Development Company Limited has announced an adjustment to the conversion price of its HK$8 billion 0.5% guaranteed convertible bonds due 2030, linked to a proposed final cash dividend of HK$0.76 per share for the year ended 31 December 2025. If shareholders approve the dividend at the 2 June 2026 annual general meeting, the bond conversion price will be reduced from HK$35.35 to HK$34.53 per share, effective 11 June 2026, while all other bond terms remain unchanged.
Following the adjustment, the maximum number of shares issuable upon full conversion of the bonds will increase from 226,308,345 to 231,682,594 shares, adding 5,374,249 new shares. These additional shares will be issued under the existing general mandate of up to 968,277,400 shares, which remains entirely unused, and the company plans to seek listing and trading approval for the additional shares from the Hong Kong Stock Exchange, implying potential equity dilution but enhanced flexibility for bondholders.
