Hemlo Mining has adopted a shareholder rights plan designed to deter hostile or creeping takeover bids by issuing one right per common share, which becomes exercisable if any investor accumulates 20% or more of the company without making a permitted bid. The plan would allow other shareholders to buy additional shares at a discount in such a scenario, preserving fair treatment and potentially strengthening the board’s hand in any future control contest.

The rights plan took effect on February 9, 2026, but remains subject to shareholder ratification within six months, with a vote expected at the June 2026 annual and special meeting and conditional acceptance already received from the TSX Venture Exchange.
