Helyon Lines Up Controlling Stake and Mandatory Offer for Green Build Technology

Green Build Technology Ltd. ( (SG:Y06) ) has issued an announcement.

Green Build Technology has agreed to a S$9.6 million share subscription with Helyon Pte. Ltd., a wholly owned unit of Haciendas Management, involving the issue of 600 million new shares at S$0.016 each and 360 million free, non-transferable warrants exercisable at S$0.02. Upon completion, Helyon will hold about 63.68% of the enlarged share capital, triggering a mandatory unconditional cash offer for all remaining shares it does not own, subject to shareholder approval, regulatory clearances and other conditions by a specified long-stop date.

If the conditions, including SGX-ST approvals and shareholder consent, are met, Helyon will formally launch the takeover offer, with detailed terms to follow in an offer document dispatched within regulatory timelines. The transaction would effectively give Helyon control of Green Build Technology, reshaping the company’s ownership structure and potentially its strategic direction, while shareholders are urged to exercise caution and seek independent advice as there is no certainty all pre-conditions will be satisfied.
