Helios Fairfax Partners Corporation, as part of a Helios-led investor consortium, has launched a cash offer to acquire the remaining share capital of CAB Payments Holdings plc, a London-listed payments company, excluding the roughly 45% already held by Helios Fund III. Under the proposal, CAB Payments shareholders other than Helios Fund III are offered USD 1.15 in cash per share, valuing the fully diluted equity at about USD 297 million, with an option for eligible investors to receive unlisted non-voting shares in a special purpose vehicle instead of cash.
Helios Fairfax’s maximum financial commitment under the deal is capped at USD 75 million, which will be funded through a bridge facility arranged with FirstRand Bank’s Rand Merchant Bank division that will roll into the group’s existing senior secured revolving credit facility. The transaction, which remains subject to pre-conditions and could reshape Helios Fairfax’s exposure to African-focused payments infrastructure, underscores the firm’s strategy of deepening its holdings in African-related financial services platforms while leveraging structured financing to support larger acquisitions.
