Hargreaves Services ( (GB:HSP) ) has issued an update.
Hargreaves Services plans to return up to £20 million to shareholders through a tender offer for up to 2,352,941 ordinary shares, representing about 7.12% of its expected issued share capital. The offer is priced at 850 pence per share, a premium of roughly 16.4% to the latest closing price and 26.9% to the price before the buyback plan was first signalled.
Shareholders can tender around 7.12% of their holdings as a basic entitlement, with the ability to apply for more if others do not fully participate, while key directors and largest investor Harwood Capital have committed to tender at least their basic entitlements. The tender, to be executed via broker Singer Capital Markets and subject to approval at a 29 April general meeting, is expected to reduce the free float modestly, support the share price and slightly increase the stakes of non-tendering directors as repurchased shares are largely cancelled.
