On December 10 and December 15, 2025, Harbor Diversified, Inc. entered into a series of interdependent agreements to divest key aviation assets for an expected aggregate purchase price of approximately $113.2 million, subject to adjustments. AWAC Aviation agreed to sell its 100% membership interest in Air Wisconsin Airlines LLC to CSI Aviation, Inc., while Harbor Diversified separately agreed to sell 13 Bombardier CRJ200 aircraft and related expendable parts inventory to CSI and 12 Bombardier CRJ200 aircraft to UMB Bank as Trustee for Associated Lease and Finance Group, LLC, with all three transactions expected to close concurrently following customary regulatory and closing conditions. The company also scheduled its 2025 annual meeting of stockholders for December 30, 2025, and, due to the meeting date shift from the prior year, reset the deadlines and procedural requirements for stockholder proposals, director nominations, and universal proxy rule compliance, tightening the framework under which shareholders can bring business before the meeting.
