On January 23, 2026, Authentic Brands Group and Guess? announced the completion of a landmark transaction to take Guess? private, in which Authentic acquired 51% of substantially all Guess? intellectual property while the Marciano family and CEO Carlos Alberini and their related entities retained 49%, and existing Guess? shareholders received cash consideration for their shares. The deal triggered a series of capital structure and governance changes including special conversion and put rights for holders of Guess?’s 3.75% convertible senior notes due 2028, termination of associated hedge and warrant transactions, cash-out and accelerated vesting of equity awards for most shareholders, the delisting of Guess? shares from the New York Stock Exchange and suspension of SEC reporting, and a new ownership framework under which current management owns 100% of the operating company and will continue to run the business while collaborating with Authentic to expand the brand’s global reach and unlock new growth opportunities.
