Guangzhou R&F Properties has convened its 2025 annual general meeting for 29 May 2026 in Guangzhou, where shareholders will review the 2025 board, supervisory committee and audited financial reports, reappoint BDO Limited as auditor, and vote on the re-election of several incumbent directors and a supervisor. Investors will also decide on the election of a new independent non-executive director, Fergus Chow Oi Wah, and on authorizing management to sign individual credit or loan agreements of up to RMB8 billion for the group and its subsidiaries.
Shareholders are further being asked to approve a sizeable guarantee framework for 2026, allowing the company to provide guarantees of up to RMB100 billion for subsidiaries, associates, joint ventures and other investees under defined leverage and concentration thresholds. The AGM will also consider granting the board a general mandate to issue up to 20% of the existing H shares, subject to PRC regulatory approvals, potentially giving Guangzhou R&F additional flexibility to raise capital and manage liquidity in a still-challenging Chinese property market while concentrating decision-making power at board and chairman level for large financings and guarantees.
