GS Chain Plc ( (GB:GSC) ) has shared an update.

GS Chain has signed exclusive, non-binding heads of terms to acquire GMM Acquisition Corp, which is in the process of buying Giraudy Holding, MediaLine and Source Digital, forming a vertically integrated media group spanning out-of-home advertising and AI-driven home entertainment technology. The all-share deal would see GS Chain issue new ordinary shares as consideration, leave existing shareholders with a minority stake in the enlarged group, and support a move from shell to commercial company status on the London Main Market once regulatory approvals, due diligence, fundraising and GMM’s own acquisitions are completed.

Giraudy and MediaLine would bring established French and European out-of-home advertising assets into an AI-focused ecosystem dubbed MADverse, while Source aims to use data intelligence to transform household TV engagement and ad targeting for advertisers and content owners. Pending an FCA-approved prospectus and clarity on GMM’s information, GS Chain has requested and obtained a temporary suspension of its listing and trading, appointed Cairn Financial Advisers as sponsor, and warned there is no certainty the transaction will complete, though a successful closing would significantly reposition the company as a tech-enabled media operator in the UK and European markets.
