Greenbriar Sustainable Living Inc. has closed a non-brokered private placement, issuing 625,000 units at CAD $0.40 each for gross proceeds of CAD $250,000, with each unit comprising one share and one warrant exercisable at $0.50 until March 2029. The financing, which carries no commissions and is subject to a four-month hold and final TSX Venture Exchange approval, will be used for general working capital, modestly strengthening the company’s liquidity position.

The company has also completed a shares-for-debt transaction with Captiva Verde Wellness Corp., settling $625,000 of assumed indebtedness by issuing 1,250,000 common shares at a deemed price of $0.50 per share. While the deal is a related-party transaction involving overlapping directors and officers, Greenbriar is relying on exemptions under MI 61-101 as the transaction value is below 25% of its market capitalization, enabling the company to reduce leverage without triggering minority approval requirements.
