Graycliff Exploration has closed an oversubscribed private placement, raising $650,000 through the issuance of 5,416,308 units, each consisting of one common share and a half warrant exercisable at $0.18 until April 7, 2027. The financing, which combined $458,000 in new equity with $192,000 in debt settlements and included $31,576 in finder’s fees, is intended to fund exploration at the Shakespeare gold project and strengthen general working capital.
The transaction qualifies as a related party deal under MI 61-101, with insiders subscribing for 1,341,667 units as part of a strategy to improve the company’s challenged financial position, and Graycliff relying on available exemptions from valuation and minority approval requirements. Following the placement, CEO Arndt Roehlig increased his stake to 2.3 million shares, or roughly 13.9% of the company on an undiluted basis, and said the bolstered capital base will allow management to focus on reviewing recently acquired geological data and preparing for the upcoming exploration season.
