GPI SpA ( (IT:GPI) ) has shared an update.

GPI S.p.A. has made available its 2025 annual financial report, including separate and consolidated financial statements, the management report and sustainability statement, as well as auditors’ reports and explanatory documents for the 29 April 2026 shareholders’ meeting. The company has also filed additional merger-related documentation at its registered office and on its website, ensuring investors have access to detailed information ahead of key governance decisions.

The group confirmed that the merger plan to incorporate wholly owned subsidiary Tesi Elettronica e Sistemi Informativi S.p.A. S.B. into GPI S.p.A. has been duly registered with the Companies Registers of Milan and Trento, enabling the board to approve the transaction under the simplified procedure. Shareholders holding at least five percent of the share capital retain the right, exercisable by 15 April 2026, to request that approval be escalated to an extraordinary shareholders’ meeting, underscoring governance safeguards as GPI streamlines its corporate structure.
