An update from GP-Act III Acquisition Corporation Class A ( (GPAT) ) is now available.

On March 30, 2026, GP-Act III Acquisition Corp. filed a definitive proxy statement with the U.S. Securities and Exchange Commission to call an extraordinary general meeting, asking shareholders to extend the deadline to complete a business combination and the corresponding trust liquidation date from May 13, 2026 to November 13, 2026. The company and its sponsor plan to enter into non-redemption agreements with third-party shareholders, who would agree not to redeem and to vote for the extensions in exchange for post–business combination share transfers, a move expected to improve the chances of approval and preserve more cash in the trust for the eventual transaction.

The non-redemption agreements will terminate if shareholders do not approve the extension, the parties fulfill their obligations, the company is liquidated or dissolved, the parties mutually agree to end them, or a shareholder redeems or fails to vote for the extension.
