The board of directors, following a special committee review and advice from external financial and legal advisors, has unanimously determined the transaction is in the best interests of the company and fair to affected shareholders, and is urging holders of common, Series C preferred and Series E preferred shares to vote for the deal ahead of the January 16 proxy deadline, ahead of a special meeting scheduled for January 20, 2026.
