At its 2026 Annual Meeting of Shareholders held on April 24, 2026, GATX shareholders approved an amendment and restatement of the company’s 2012 Incentive Award Plan, increasing the share pool by 1,300,000 shares, removing the plan’s fixed term, raising annual award limits for individuals and non-employee directors, and expanding eligibility to include consultants.
