GARO’s 2026 Annual General Meeting re-elected key board members, added two new directors and confirmed Axel Barnekow Widmark as chair, while keeping board and committee fees unchanged and reappointing Ernst & Young as auditor. The meeting also approved remuneration guidelines for senior executives and decided not to distribute a dividend for the 2025 financial year, opting instead to retain earnings.

Shareholders authorised the board to issue up to 10 percent of existing shares in connection with acquisitions, and to repurchase and transfer up to 10 percent of its own shares to finance deals and optimise capital structure. An incentive program for incoming CEO Tobias Byfeldt was approved, allowing up to 500,000 subscription warrants with a potential dilution of about 0.4 percent, signalling a focus on acquisition-driven growth and leadership alignment with long-term shareholder value.
