G Mining Ventures has agreed to acquire all outstanding shares of G2 Goldfields in an all-share deal that will consolidate their adjacent Oko West and Oko-Ghanie projects in Guyana into a single Tier-1 Oko Project. The combined operation is positioned as a large, low-cost gold mining hub in one of the world’s most prospective emerging gold districts, leveraging GMIN’s fully permitted Oko West development and existing cash resources.
The merged Oko Project is expected to deliver over 500,000 ounces of average annual gold production over its life of mine, supported by more than C$1 billion in anticipated capital and operating synergies from shared infrastructure, mine sequencing and streamlined permitting. G2 shareholders receive a 72% premium via GMIN shares plus equity in a new explorer, G3 SpinCo, funded with C$45 million and a resource-linked contingent value right, while GMIN shareholders are expected to benefit from NAV accretion and enhanced scale, backed by GMIN’s management and access to substantial liquidity and credit lines.
