On May 5, 2026, Fulton Financial Corporation completed a $300 million underwritten public offering of 5.950% fixed-to-floating rate subordinated notes due 2036, issued under its existing indenture with Wilmington Trust as trustee. The company plans to use most of the proceeds to repay $195 million of its 3.250% fixed-to-floating rate subordinated notes due 2030, with the remainder allocated to general corporate purposes, effectively refinancing higher-cost capital and optimizing its liability structure.

The subordinated, unsecured notes carry a fixed 5.950% coupon until May 15, 2031, then switch to a floating rate tied to a benchmark, expected to be three-month Term SOFR plus 217 basis points, and mature on May 15, 2036 unless redeemed earlier. Fulton retains the option to redeem the notes at par plus accrued interest beginning May 15, 2031, positioning the issuance as a flexible capital management tool within its broader funding and capital planning strategy.
