Fossil Group (FOSL) has provided an update.
Fossil Group, Inc. has entered into a Cooperation Agreement with Buxton Helmsley groups, leading to the appointment of Pamela B. Corrie to the Company’s board and its Nominating and Corporate Governance Committee. Eugene I. Davis also joins the board, with both receiving standard director compensation, including cash retainers and restricted stock units. The agreement, which includes standstill and voting provisions, will influence board composition and shareholder relations until at least the 2025 Annual Meeting, or a change in company control.
