Formula Systems (1985) Ltd. has notified investors that it will not meet the original April 30, 2026 deadline for its annual Form 20-F (Yearly Report) for the financial year ended December 31, 2025. The company submitted a Form 12b-25 to the U.S. Securities and Exchange Commission, formally disclosing the delay in filing its annual report.
The main reason for the postponement is Formula Systems’ heavy dependence on the audited consolidated financial statements of its key subsidiaries and affiliate, which are themselves public companies in Israel. These entities must complete and publish their own annual reports first, and only then can Formula Systems compile and finalize its group-level consolidated accounts.
Management explained that the tight timetable between receiving final numbers from Matrix IT Ltd., Michpal Technologies Ltd., and TSG Advanced IT Systems, Ltd. and preparing its own statements has made it impractical to file on time without unreasonable effort or expense. The compressed schedule ahead of the April 30 deadline for the Form 20-F (Yearly Report) left insufficient room for review and analysis at the parent-company level.
Under the relief provided by Form 12b-25, Formula Systems expects to submit its delayed Form 20-F (Yearly Report) by May 15, 2026, within the 15-day extension window allowed for annual filings. Investors should therefore anticipate the company’s full-year 2025 results and accompanying disclosures to be available during the first half of May, barring any unexpected complications.
The company stated that it does not anticipate any significant change in results of operations compared with the prior fiscal year that would need to be flagged ahead of the full filing. No preliminary financial figures were provided at this stage, and any future comments on performance will remain subject to typical forward-looking uncertainties and audit completion.
Formula Systems confirmed that it has filed all other required periodic reports over the past 12 months, signaling ongoing compliance despite the current delay. The notification of late filing was signed on April 30, 2026, by Chief Financial Officer Asaf Berenstin, underscoring management’s commitment to complete the Form 20-F (Yearly Report) within the permitted extension period.
