Flowing Cloud Technology Ltd. has announced changes to its board of independent non-executive directors and committee compositions effective 9 February 2026. The move reflects ongoing board refreshment and governance alignment with Hong Kong listing requirements.

Independent non-executive director Ms. Chen Yuelin has resigned to focus on personal and career commitments, stepping down as chair of the audit committee and as a member of the remuneration and nomination committees. The board thanked her for her contributions and noted there were no disagreements or issues requiring shareholder attention.

The company has appointed Ms. Li Yue as an independent non-executive director, naming her chairlady of the audit committee and a member of the remuneration and nomination committees. Her three-decade background in financial management is expected to support the Group’s oversight of financial reporting and remuneration policies.

Ms. Li, who holds a business administration degree and an intermediate accountant qualification in China, will serve a three-year term subject to the company’s rotational retirement and re-election mechanism. Her annual remuneration is set at RMB72,000, determined by the remuneration committee with reference to her duties, the Group’s pay policy and prevailing market conditions.
