Fitzroy Minerals Inc. has launched a non-brokered listed issuer financing exemption offering of common shares at $0.50 to raise up to $10 million, alongside a concurrent non-brokered private placement of up to 32 million units at the same price for proceeds of up to $16 million. The combined $26 million financing, subject to TSXV approval, is earmarked for exploration and property commitments at the Buen Retiro and Caballos projects, advancement of the Polimet project, restructuring of the Taquetren project, and general corporate purposes, with potential insider participation falling under minority protection rules but exempt from formal valuation and approval thresholds.

The LIFE Offering will issue freely tradable shares under Canadian securities rules, while units in the concurrent placement will include half-warrants exercisable at $0.80 for two years and be subject to a four-month-plus-one-day hold period.
