Fantasia Holdings Group Co. Ltd. ( (HK:1777) ) has shared an announcement.
Fantasia Holdings shareholders have unanimously approved a sweeping recapitalisation package at an extraordinary general meeting held on 15 May 2026, backing the issuance of more than 11 billion new shares under various schemes and capitalisation arrangements. Investors also endorsed the issuance of multiple tranches of U.S. dollar-denominated convertible bonds and notes, alongside a near fourfold increase in authorised share capital to HK$3 billion, significantly expanding the company’s financial flexibility and capacity to execute its restructuring plans.
The resolutions passed with 100% of votes cast in favour for each item, signalling strong stakeholder support for the company’s strategy to address its liabilities and stabilise its balance sheet. By approving new Scheme Creditor Shares, fee shares, capitalisation shares and major bond and note issuances, Fantasia is positioning itself to convert debt to equity, improve liquidity and create room for future financing, moves that are likely to have a material impact on existing shareholders’ dilution and the group’s long-term capital structure.
