Lingo Media ( (TSE:ELL) ) has issued an update.
Everybody Loves Languages Corp. has completed an amalgamation with its affiliate ELL Ventures Ltd. to form a new private entity that will continue under the Everybody Loves Languages name. Under the approved business combination, existing public shareholders of Everybody Loves Languages had their common shares converted into redeemable preferred shares, which were immediately redeemed for cash at $0.085 per share, while shareholders of ELL Ventures became the owners of the amalgamated company.
Following the transaction, the company has applied to delist its shares from the TSX Venture Exchange as early as April 14, 2026 and to cease being a reporting issuer in several Canadian provinces, effectively ending its status as a public company. Control of the newly amalgamated business rests with executives Gali Bar-Ziv and Khurram Qureshi, signaling a shift toward private ownership that may give management greater flexibility in executing its growth and market expansion strategy outside the public markets.
