Eurotech’s shareholders approved the 2025 financial statements, which showed a decline in consolidated revenues to €55.4 million and a reduced but still negative EBIT of €-8.5 million, with the parent company posting an €8.4 million loss carried forward. The meeting also endorsed the remuneration report, renewed authorisation for the purchase and disposal of treasury shares, and approved a one-off increase in audit fees.
Governance was overhauled with the appointment of a seven-member board led by new chairman Luca di Giacomo, alongside a new Board of Statutory Auditors, all drawn from a list proposed by major shareholder Emera S.r.l., which holds 32.77% of Eurotech. In extraordinary session, shareholders also delegated the board to execute a share capital increase of up to €20 million over three years, which could be carried out in tranches and with exclusion of pre-emptive rights, providing financial flexibility to support the company’s strategic and capital needs despite ongoing losses.
