Eurocell ( (GB:ECEL) ) has shared an announcement.

Eurocell plc reported that all resolutions at its 14 May 2026 Annual General Meeting were approved by shareholders via a poll vote, with participation representing around three-quarters of the issued share capital. The meeting endorsed the 2025 accounts, confirmed a final dividend of 4.1p per share, reappointed Deloitte as auditor and backed the directors’ remuneration report and share incentive plan.

Shareholders also re-elected all directors, though a noticeable minority opposed the re-election of chair Derek Mapp and non-executive Angela Rushforth, indicating some governance scrutiny. In addition, investors renewed authorities for the board to allot shares, disapply pre-emption rights for certain capital raisings and make market purchases of its own shares, providing continued financial and strategic flexibility for future corporate actions.
