On August 25, 2025, Eureka Acquisition Corp, a Cayman Islands exempted company, issued an unsecured promissory note of up to $300,000 to its sponsor, Hercules Capital Management Corp. The proceeds will be used for general working capital purposes until the company completes its initial business combination. The note bears no interest and is payable upon the business combination’s completion or the company’s term expiry. The sponsor has the option to convert the note into private units of the company, which include Class A ordinary shares and rights to additional shares upon the business combination’s completion.
