Ercros Reshapes Board and Committees Under New Controlling Shareholder Bondalti

Ercros has overhauled its board following the arrival of new controlling shareholder Bondalti Iberica, appointing Anton Valero Solanellas, João Maria Guimaraes José de Mello and André Cabral Côrte-Real de Alburquerque as directors by co-option to replace three resigning board members. Valero becomes chairman and joins the audit and appointments and remuneration committee, de Mello is named chief executive officer, and Cabral Côrte-Real receives executive duties, consolidating Bondalti’s representation in key leadership roles.

The board also accepted the resignation of non-member secretary Daniel Ripley Soria and appointed Pere Kirchner Baliu as secretary and Gerard Correig Ferré as deputy secretary, with both serving the board, audit committee and appointments, remuneration, sustainability and CSR committee. Following these changes, Ercros’ board is reduced to six members with a mix of proprietary, executive and independent directors, and its core committees have been reconstituted, signaling a tighter governance structure aligned with the new shareholder’s strategy and potentially reshaping the company’s future decision-making and oversight.
