The latest announcement is out from Eplus ( (PLUS) ).

On February 17, 2026, ePlus inc. amended and restated its bylaws, introducing changes to strengthen corporate governance around director nominations, dividend authority, and election oversight. The revisions require the company to notify stockholders of curable deficiencies in director nominations submitted in time, and explicitly bar any director standing for election from serving as an inspector of elections at that vote.

The updated bylaws also codify the Board’s express authority to pay dividends or make other distributions in line with Delaware law, and introduce a series of modernizing and administrative tweaks. These include specifying proxy card colors for competing solicitations, expanding disclosure of certain transaction types in nomination notices, clarifying timing for shareholder list availability, and eliminating facsimile as an acceptable method for Board meeting notices.

The most recent analyst rating on (PLUS) stock is a Hold with a $91.00 price target. To see the full list of analyst forecasts on Eplus stock, see the PLUS Stock Forecast page.

Spark’s Take on PLUS Stock

According to Spark, TipRanks’ AI Analyst, PLUS is a Neutral.

The score is driven mainly by strong, raised FY2026 guidance and Q3 profitability expansion, supported by a healthy balance sheet. Offsetting these positives are weak near-term cash-flow conversion and a softer technical setup, while valuation looks broadly reasonable but not a standout.
