Eni’s Board of Directors has confirmed Claudio Descalzi as Chief Executive Officer and General Manager, granting him broad management powers while retaining certain non-delegable responsibilities. The Board also reaffirmed Chair Giuseppina Di Foggia’s central role in the internal control system, particularly in overseeing the Internal Audit function in coordination with the CEO.

The Board verified that all directors meet legal integrity requirements and confirmed the independence status of the chair and several directors under both statutory rules and the Corporate Governance Code. It specifically assessed potential conflicts arising from roles in other state-influenced companies and concluded these do not compromise independence, a position validated by the Board of Statutory Auditors.

In line with the Corporate Governance Code, Eni appointed its key board committees: a Control and Risk Committee, a Nomination and Remuneration Committee, and a Sustainability and Scenarios Committee, all composed of non-executive, independent directors with relevant expertise.
