ENEOS Holdings will tender 57.3 million shares of its stake in JX Advanced Metals Corporation in a share buyback offer by the subsidiary, potentially raising about ¥250 billion and cutting its holding from 42.38% to 35.27%. The move is part of the company’s broader portfolio transformation under its fourth medium-term management plan, aimed at reallocating capital toward energy transition investments and improving capital efficiency, and is expected to generate roughly ¥110 billion in operating profit in the fiscal year ending March 2027.

The tender price will be set at a 10% discount to either the one-month average or the May 20 closing price of JX Advanced Metals, ensuring pricing aligned with recent market levels. ENEOS’s decision follows earlier partial divestments via JX Advanced Metals’ 2025 stock exchange listing and comes as JX Advanced Metals prepares to increase its share count through the planned acquisition of Toho Titanium, underscoring ongoing restructuring in the group’s metals and advanced materials operations.
