On June 5, 2025, ECD Automotive Design entered into a securities purchase agreement with an institutional investor for up to $21.97 million of senior secured convertible notes, and on March 12, 2026, the investor exercised its right to purchase an additional $2.66 million in notes, which mature on December 12, 2026 unless earlier converted or redeemed. The additional notes, purchased at a discount and subject to a 9.99% beneficial ownership cap, could be converted into up to 783.46 million common shares at a floor price of $0.0034, while the same institutional investor, now the company’s parent, holds $12.48 million in outstanding loans, and, following a March 12, 2026 merger, legacy IPO and private placement warrants were rendered effectively worthless due to an exercise price of $2,300 per share versus a cash entitlement of only $0.0176 per pre‑merger share equivalent.
