EC World Real Estate Investment Trust ( (SG:BWCU) ) has shared an announcement.
EC World REIT held its annual general meeting in Singapore, where the board, management, trustee representatives and auditors met with unitholders to review financial year 2025 performance and governance matters. The meeting noted a challenging macroeconomic and real estate environment in China, discussed asset management and portfolio updates, and acknowledged the impending departure of non-independent director Chia Yew Boon.
Management highlighted that FY2025 financial statements were prepared on a realisation basis, with a substantial RMB286 million bad debt provision reflecting ongoing weaknesses in the China market and efforts to manage credit risk and cash flows. The REIT is contending with a low WALE after the removal of master leases, prompting plans to renegotiate underlying leases when conditions improve, explore alternative uses and potential repurposing of assets, and pursue divestments to ease financial pressures.
The manager also outlined an intention to internalise the REIT management function to better align operations with unitholder interests, while strengthening internal audit and risk management amid uncertainties over an unauthorised mortgage and the sponsor’s restructuring. Unitholders approved the FY2025 audited financial statements, reappointed BDO LLP as auditors and granted a general mandate to the manager to issue new units or convertible securities, reinforcing management’s flexibility to respond to funding needs and strategic options.
