Ebiquity plc has announced that, following the proposed cancellation of 40,749 ordinary shares previously issued as part of the deferred consideration for its acquisition of Media Management, LLC, its ordinary share capital will consist of 141,215,531 shares. The adjustment stems from an amendment to the acquisition terms that set a minimum issue price at the nominal value of the company’s shares, resulting in a recalculation of the consideration shares due and the transfer of surplus shares back to the company for cancellation.

The company also confirmed that its Employee Benefit Trust holds 2,262,845 ordinary shares for employee share plans, which will not carry voting rights as the trustee has agreed not to vote them.
