On March 12, 2026, Duke Energy completed a $1.5 billion private offering of 3.000% Convertible Senior Notes due 2029 to qualified institutional buyers under Rule 144A. The senior unsecured notes, which cannot be redeemed early by the company, pay semiannual interest and rank pari passu with Duke Energy’s other unsecured, unsubordinated debt while remaining senior to any subordinated obligations.

The securities are convertible into cash and, at Duke Energy’s election, cash and common stock, at an initial rate implying a 22.5% premium to the March 9, 2026 share price, with a maximum of about 11.4 million shares initially issuable.
