Dongfeng Motor Group Clears Conditions for Privatization and Voyah Share Distribution

Dongfeng Motor Group Co ( (HK:0489) ) has provided an update.

Dongfeng Motor Corporation and its affiliate Dongfeng Motor Group (Wuhan) Investment Company Limited have moved to privatise Hong Kong-listed Dongfeng Motor Group Company Limited via a merger by absorption, which will also see the company withdraw its H-share listing. As part of the transaction, Dongfeng Motor Group is distributing shares of its EV-focused subsidiary Voyah to existing shareholders, shifting value directly to investors while reshaping its listed asset structure.

The companies announced that all conditions for both the Voyah share distribution and the merger implementation have been satisfied, making the privatisation and distribution unconditional. Voyah H-share certificates were dispatched to eligible shareholders on 18 March 2026, with trading in Voyah H shares on the Hong Kong Stock Exchange expected to commence on 19 March 2026, marking a transition for stakeholders from the group’s H shares to direct exposure in its EV business.
