Dicker Data has formalised Fiona Brown’s position as Managing Director, recognising the expanded leadership role she has held since the 2025 departure of founder David Dicker, while she continues as Executive Chair. Her remit covers long term strategy, risk and financial management, culture and major growth initiatives, and her remuneration has been updated to include a long term incentive aligned with other executives, but without a short term incentive component.

From FY26 the company will introduce deferral of 30% of short term incentives for its existing executive directors into share rights that vest over one and two years, subject to malus provisions to strengthen accountability and governance. The board intends to seek shareholder approval for issuing performance and share rights under its incentive schemes, signalling a shift toward greater equity based remuneration that ties senior management rewards more closely to Dicker Data’s long term performance and shareholder interests.
