Devon Energy ( (DVN) ) has provided an announcement.

Devon Energy and Coterra Energy, both U.S. oil and gas producers, entered into a merger agreement on February 1, 2026 under which a Devon subsidiary will merge into Coterra, leaving Coterra as a wholly owned Devon unit. The companies filed an S-4 registration statement in March 2026, secured its effectiveness from the SEC on March 26, 2026, and scheduled special shareholder meetings for May 4, 2026 to vote on the transaction.

Since the joint proxy statement/prospectus was filed on March 30, 2026, Devon has faced two shareholder lawsuits in New York and multiple demand letters alleging disclosure gaps around the merger. While denying any wrongdoing or legal need for more detail, Devon is voluntarily supplementing the proxy with expanded financial analyses and valuation assumptions used by advisor Evercore, aiming to reduce litigation risk and avoid delays to closing the Coterra deal.
