DENSO will introduce a new trust-based, performance-linked share remuneration system for its directors and executive officers, replacing its existing restricted stock framework once shareholders approve it at the June 18, 2026 general meeting. Under the Board Benefit Trust–Restricted Stock program, a trust funded by DENSO will acquire company shares and allocate them to eligible officers as restricted stock during their tenure and as cash equivalents at retirement, with voting rights on trust-held shares left unexercised to reinforce governance.
