Deltic Energy ( (GB:DELT) ) has provided an update.
Deltic Energy has confirmed that the recommended cash offer from RockRose Energy’s Viaro Bidco to acquire the entire share capital of the company will lapse at 11:59 p.m. on 31 March 2026, after a court-approved scheme of arrangement failed to become effective by the agreed long stop date. The transaction depended on regulatory consent from the North Sea Transition Authority for a change of control of Deltic’s North Sea exploration licences, but with that approval still outstanding and no decision deadline provided, the board opted not to extend the timetable further and Viaro Bidco declined to waive the condition.
As a result, the scheme will lapse, Deltic will cease to be in a takeover offer period from 1 April 2026, and disclosure obligations under the Takeover Code will end. The board has said it will now review all other strategic options for the business, noting that the company is funded for working capital into the second half of 2026, a development that leaves shareholders facing renewed uncertainty over Deltic’s future direction and ownership.
