Daido Steel Co ( (JP:5471) ) has shared an update.

Daido Steel has launched a tender offer to acquire all common shares of Tohoku Steel Co., Ltd., excluding its existing stake, treasury shares, and shares held by several major investors under non-tender agreements, at 4,491 yen per share between May 18 and June 29, 2026. Tohoku Steel’s board supports the bid, and Daido plans, if full ownership is not achieved via the offer, to pursue share consolidation and related measures after an extraordinary shareholders’ meeting expected in early September 2026 to make Tohoku Steel its wholly owned subsidiary and streamline the shareholder structure.

The move would shift Tohoku Steel from an equity-method affiliate, in which Daido Steel currently holds about 34.32%, to a fully controlled subsidiary, enabling closer integration of operations and governance. By coordinating with key non-tendering shareholders and preparing squeeze-out procedures, Daido Steel is signaling a firm commitment to consolidating its stake, which could enhance operational synergies, simplify decision-making, and potentially reshape competitive dynamics in the Japanese specialty steel segment.
