Crypto Company ( (CRCW) ) has issued an announcement.

On March 23, 2026, The Crypto Company completed the acquisition of all core technology and assets of the Frame Blockchain business from Frame Holdings through its new subsidiary, Frame Intelligence, LLC. The deal transferred the intellectual property, code base, infrastructure access, and all other assets needed to own and develop the Frame Layer 1 blockchain, with the board of directors approving the transaction by unanimous written consent.

Consideration is structured entirely as milestone-based stock issuances rather than upfront cash or equity, with up to approximately $50.5 million in potential common stock tied to achieving escalating market capitalization and Frame business valuation thresholds up to $1 billion. The company has also committed at least $2 million in funding to Frame Intelligence and set up a buy-sell provision and restricted stock framework that shape future control of the Frame blockchain assets and align equity incentives with long-term performance.

In tandem with the asset purchase, The Crypto Company entered into a Consulting Agreement under which Frame Holdings, via Frame creator Sean Docherty, will provide executive, technical, and blockchain-related services for a base monthly fee starting when the funding commitment is met. Compensation under this agreement scales with future valuation milestones, includes severance protections, and contemplates Docherty becoming Chief Blockchain Officer and a voting director, reinforcing his central role in the blockchain’s development.

The acquisition consolidates ownership of Frame’s intellectual property through dedicated assignment agreements and a bill of sale, ensuring Frame Intelligence holds all proprietary rights necessary to operate the network. By combining a public-company structure with a purpose-built interoperability-focused Layer 1 blockchain, The Crypto Company is positioning itself to sit at the settlement layer of crypto and AI-driven commerce, while previous ties between an executive and Frame Holdings were reviewed and deemed not materially conflicted by the board.
