Country Garden Holdings ( (HK:2007) ) has issued an announcement.
Country Garden has outlined further steps to address a disclaimer of opinion issued by its auditor on the group’s 2024 and 2025 consolidated financial statements, which stemmed from uncertainties over the company’s ability to continue as a going concern. The company is providing periodic updates to shareholders and potential investors as it works to resolve these audit concerns through financial restructuring measures.
To shore up liquidity and improve its debt profile, the group has advanced a holistic restructuring of nine onshore corporate bonds, adjusting principal and interest repayment terms and offering bondholders options including cash repurchase, stock conversion and general creditor claims. Bondholders approved the plan in meetings held between September and December 2025, and in February 2026 the group launched a repurchase of up to RMB450 million of the affected bonds, with further option exercises to follow and progress updates to be announced under market disclosure rules.
