On April 27, 2026, Cosan S.A. announced the launch of documentation for a secondary public offering of common shares in its gas and energy subsidiary Compass Gás e Energia, to be carried out in Brazil’s over-the-counter market. Within this offering, Cosan may sell shares representing about 15% of Compass’s capital, with final volumes and pricing to be set via a bookbuilding process.

To facilitate its role as a selling shareholder, Cosan completed on April 27, 2026 a partial and disproportionate spin-off of Cosan Dez Participações, transferring the spun-off equity to Compass and receiving 142,838,019 new Compass shares, equivalent to roughly 20% of Compass’s capital. This reorganization leaves Cosan’s consolidated capital and shareholders’ equity unchanged but converts an indirect stake into a direct 20% holding, clarifying its structure in Compass ahead of the share sale and signaling a move to monetize part of its investment while retaining a significant position in the subsidiary.
