Comvita ( (NZ:CVT) ) has provided an update.
Comvita has completed a major capital raising, issuing 59,277,289 new ordinary shares through a pro-rata rights offer and a strategic placement, expanding its total shares on issue to 129,839,035. The new shares, priced at NZ$0.65 under the rights offer and NZ$0.80 under the placement, rank equally with existing fully paid ordinary shares, significantly enlarging the company’s equity base.
The capital raising structure brought in F&N Ventures Pte. Ltd. as a strategic shareholder via the placement, which also underwrote a substantial portion of the rights offer to provide funding certainty. Comvita emphasised objectives of certainty, fairness and minimising dilution, including an oversubscription facility that allowed existing shareholders to maintain their pro-rata holdings post-placement, signalling a balancing of strategic capital needs with shareholder interests.
