COMSYS Holdings ( (JP:1721) ) has shared an announcement.

COMSYS Holdings has disclosed that it received a shareholder proposal from Oasis Japan Strategic Fund Y Ltd. to appoint Masaharu Okada as an outside director who is not an Audit and Supervisory Committee member at its June 26, 2026 annual general meeting. After review by its Nomination and Compensation Advisory Committee and further board deliberations, the company’s board resolved to oppose the proposal, judging that the candidate would not sufficiently contribute to sustainable corporate value enhancement or more effective governance.

The company emphasized that it prioritizes outside directors with substantial management and professional expertise, and has been reshaping its governance in response to feedback from major institutional shareholders. COMSYS plans to move to a monitoring-oriented board in which independent outside directors form a majority, and to install independent outside directors as chair of the board and chair of the Nomination and Compensation Advisory Committee, signaling a broader governance overhaul even as it resists this specific activist-backed nominee.

The most recent analyst rating on (JP:1721) stock is a Hold with a Yen3680.00 price target. To see the full list of analyst forecasts on COMSYS Holdings stock, see the JP:1721 Stock Forecast page.
