Commerce Bancshares ( (CBSH) ) has issued an announcement.

On April 13, 2026, Visa Inc. launched a public exchange offer allowing holders of Class B-2 common stock to swap their shares for a mix of Visa Class B-3 and Class C common stock, prompting Commerce Bancshares to tender all 411,723 of its Visa Class B-2 shares, which had previously been carried at zero value on its balance sheet as of March 31, 2026. If the tender is accepted and the exchange closes in the second quarter of 2026, Commerce Bancshares expects to recognize a significant gain tied to the conversion privilege of the Class C stock and prevailing Visa Class A prices, and it may subsequently reposition part of its available-for-sale debt securities portfolio, a move that could generate a significant loss depending on market conditions and the size of the Visa-related gain.

The most recent analyst rating on (CBSH) stock is a Hold with a $58.50 price target. To see the full list of analyst forecasts on Commerce Bancshares stock, see the CBSH Stock Forecast page.
