Colour Life Services Group Co ( (HK:1778) ) has provided an update.
Colour Life Services Group Co., Limited has announced the completion of a restructuring agreement involving its major shareholder Fantasia Holdings Group Co., Limited, resolving a dispute over a significant block of its shares. Following the transactions, the purchaser has acquired about 21.97% of Colour Life, 10% has been transferred to an entity designated by TFISF as enforcement of security, Fantasia now retains roughly 9.98% free of claims, and Colour Life is no longer a subsidiary of Fantasia.
Despite these changes, control of Colour Life remains concentrated, as Ms. Zeng Jie, Baby continues to indirectly hold approximately 59.99% of the company’s issued shares through the purchaser, Fantasia and Fatansy Pearl International Limited. The completion of the restructuring clarifies the company’s ownership structure, removes encumbrances over part of its shares, and may alter its relationship with Fantasia while maintaining continuity in ultimate majority control for existing stakeholders.
